1. This agreement
These terms are an agreement between Onari ("Onari", "we", "us") and the company or organisation that creates an Onari workspace ("you", "the customer"). The person who accepts them confirms they are allowed to bind that company.
If you have signed an order form or enterprise agreement with us, that document wins wherever it differs from these terms.
2. What Onari does
Onari is gamification infrastructure. You send us events from your app (for example, "order completed" or "transfer sent"), and Onari works out streaks, quests, badges, leaderboards, trivia results, referrals and rewards according to the campaigns you set up.
We provide an API and SDKs, a dashboard for your team, a hosted Rewards Hub your customers can open inside your app, and an AI campaign builder that drafts campaigns for you to review.
Every workspace has a sandbox for testing, which is free and never counts toward billing, and a live environment.
3. Rewards are paid by you
Onari never holds, moves or pays out money, airtime, data, vouchers or any other reward. When a player earns a reward, we record it and send a signed webhook to your systems. You decide whether and how to credit it.
- You are responsible for funding and delivering every reward you offer, and for any taxes on them.
- Budget caps and cost checks in Onari help you control spend, but you remain responsible for what your campaigns promise to players.
- If a webhook fails, we retry it and show it in your dashboard. You are responsible for handling retries without paying a reward twice (each webhook carries an idempotency key for this).
4. Your campaigns and your players
You are the organiser of every campaign you launch. That means:
- You publish terms and conditions for your players. We give you a template for each campaign, but you must check it fits your business and country.
- You make sure each campaign complies with the laws that apply to you, including consumer protection, advertising, promotions and prize competition rules, and data protection law.
- Trivia and other games are designed as games of skill. Rules for prize promotions differ by country and may need approval from a regulator. Get legal advice before running prize promotions.
- You handle questions and complaints from your players. We will help you investigate anything that involves our service.
5. The AI campaign builder
The AI builder turns a description into a draft campaign. Drafts can contain mistakes, so a person on your team must review every campaign before it goes live. Onari never launches a campaign on its own.
Our own code (not the AI) checks each campaign's worst-case cost against your budget cap before you can launch. This check is a safeguard, not a guarantee of what a campaign will cost.
We do not send player-level data to AI model providers, and we do not use your campaigns or data to train AI models.
6. Accounts and security
Keep your login details and API keys secret. Secret keys belong on your servers only, never in a mobile app or website code. You are responsible for activity in your workspace, including by teammates you invite.
Tell us straight away at hello@onari.xyz if you think your account or keys have been compromised. You can roll keys from the dashboard at any time.
7. Acceptable use
You agree not to:
- Use Onari for gambling, lotteries or games of chance without the licences the law requires.
- Run misleading campaigns, such as promising rewards you don't intend to give.
- Send us sensitive personal data such as BVN, NIN, ID numbers, card numbers, passwords, health data or biometric data.
- Target campaigns at children where the law does not allow it.
- Try to break, overload, reverse engineer or get around the limits or security of the service, or access another customer's data.
- Resell the service as your own gamification product without a written agreement with us.
We may pause a campaign or workspace that breaks these rules or puts players or the service at risk. Where we can, we will tell you first and give you a chance to fix it.
8. Plans, fees and billing
Paid plans are billed per month or per year, in advance, through our payment partner Bachs. Prices are on our pricing page and exclude taxes, which we add where the law requires.
- Each plan includes a number of monthly active players: people who triggered at least one event in your live environment that calendar month. Each player counts once, however many events they send.
- If you go over your plan, we bill each extra player at your plan's overage rate at the end of the month. We email you at 80% and 100% of your plan, and you can set a hard cap instead.
- Each plan includes a fair-use allowance of events per player. If your average is far above it, we will contact you to agree a suitable plan before taking any action.
- Plans renew automatically until cancelled. Upgrades take effect immediately and are prorated; downgrades and cancellations take effect at the end of the billing period.
- Annual plans are paid upfront and are not refundable part-way through, unless the law requires otherwise.
- If a payment fails, we will remind you and retry. If it is still unpaid 14 days later, we may pause your live environment until it is paid. Your data is not deleted.
9. Your data
You own the data you send us and the campaigns you create. We use it only to run, secure and improve the service for you, as set out in our Privacy Policy and Data Processing Agreement, which form part of these terms.
We may use aggregated, anonymous statistics that cannot identify you or any player (for example, average streak length across all customers) to improve Onari and to publish industry benchmarks.
You can export your data at any time. After your workspace is closed, we delete your data within 30 days, except where the law requires us to keep it longer.
10. Availability and support
We work hard to keep Onari fast and available, and we tell you in advance about planned maintenance. Specific uptime commitments and service credits are offered on Enterprise agreements.
Your app should keep working if Onari is briefly unavailable: our SDKs queue events and retry, and you should not block your core flows (such as payments or checkout) on a call to Onari.
Support levels depend on your plan, as shown on the pricing page.
11. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for this agreement. This does not cover information that is already public, that the other side already had, or that the law requires us to disclose.
12. Intellectual property
Onari owns the service, our software, our designs and our brand. We give you a licence to use them for your business while you have an active workspace.
You give us a licence to use your name, logo and colours to show them in your Rewards Hub and dashboard. We will only name you as a customer publicly with your permission.
If you send us feedback or ideas, we may use them without owing you anything.
13. Warranties and liability
Apart from what these terms promise, the service is provided "as is". We do not promise that any campaign will increase your revenue, retention or engagement.
Neither of us is liable for indirect or consequential losses, such as lost profits or lost data that could have been backed up. Each side's total liability under these terms is limited to the fees you paid us in the 12 months before the claim.
These limits do not apply to breaches of confidentiality, your payment obligations, your responsibility for rewards and campaigns, or anything the law does not allow us to limit.
14. Ending the agreement
You can close your workspace at any time in Settings. We can end this agreement with 30 days' notice, or immediately if you seriously break these terms and don't fix it within 14 days of us telling you.
When it ends, you stop using the service, unpaid fees become due, and we delete your data as described in section 9. Sections that by their nature should continue (such as fees owed, confidentiality and liability) continue.
15. General
We may update these terms. If a change matters, we will email workspace owners at least 30 days before it takes effect. Continuing to use Onari after that means you accept the change.
These terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute by talking first; if that fails, the courts of Lagos State will have jurisdiction.
